Welcome!

We wrote these Terms of Service (“Terms”) so you understand the rules that govern your relationship with JavaBeanAI, LLC (“JavaBeanAI,” “we,” “us,” “our”) when you use Pick and Pack and any related websites, applications, and services we offer (collectively, the “Services”).

We try to keep these Terms readable, but they are still a legally binding contract. Please read them carefully.

By installing, accessing, or using the Services, you agree to these Terms and our other policies referenced here (including our Privacy Policy). If you don’t agree, do not use the Services.

License to use the Services. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business use, only as intended.

ARBITRATION NOTICE (U.S. USERS)

These Terms include an arbitration agreement and class-action waiver (see Section 17). Except for certain disputes, you and JavaBeanAI agree disputes will be resolved by binding individual arbitration, not in court, and not as part of a class action. You may have a right to opt out as described below.

1. Who Can Use the Services

The Services are intended for use by Shopify merchants and their authorized representatives. To install and use Pick and Pack, you must be at least 18 years of age (or the minimum age required to enter into contracts where you live).

By using the Services, you represent and warrant that:

  • you can form a binding contract with us;
  • you are not barred from using the Services under applicable law;
  • you are not using the Services for illegal purposes; and
  • you will comply with these Terms, Shopify’s terms, and applicable laws.

Business use. If you use the Services for a business or organization, you represent you have authority to bind that entity, and “you” includes both you and that entity, and your use must be for legitimate internal business purposes.

2. How Pick and Pack Works

Pick and Pack is a Shopify embedded application designed to help merchants generate packing slips, invoices, pick lists, and other order-related documents.

Order data access. Pick and Pack accesses your order data on-demand through the Shopify API. Order information is fetched when you request a document and is not permanently stored on our servers. Limited metadata (such as store settings, templates, and document generation records) is retained in our database to provide the Services.

Document generation. The Services generate PDF documents based on your order data and your chosen templates. Generated documents are stored temporarily in cloud storage (Backblaze B2) to allow you to download and print them.

Template customization. You can create and customize document templates using our built-in editor. An AI-assisted editing feature (powered by xAI) is available to help you design and modify templates using natural language instructions.

Operational data. To operate the Services, we process limited technical data such as your store domain, authentication tokens, app settings, template configurations, and usage metrics. See our Privacy Policy for details.

3. Rights You Keep and Limited Rights You Grant Us

You retain ownership of your custom templates and any documents generated through the Services.

You grant JavaBeanAI a limited license to process your content solely to:

  • operate the Services (including generating documents, rendering templates, and storing generated PDFs);
  • maintain safety and security;
  • troubleshoot and improve performance; and
  • enforce these Terms.

This license is worldwide, royalty-free, and lasts only as long as needed for those purposes.

Feedback. If you send us suggestions, ideas, or feedback, you agree we may use it without compensation or obligation, and such feedback is considered non-confidential and non-proprietary.

4. Additional Terms and Policies

Additional terms may apply to specific features (for example, paid plans, beta features, or AI-powered editing). If additional terms conflict with these Terms, the additional terms control for that feature.

All referenced policies (e.g., Privacy Policy) are incorporated into these Terms and form part of your agreement with us.

5. Privacy

Your privacy matters. Our Privacy Policy explains what we collect and why, and how we handle your data. The Privacy Policy is part of your agreement with us.

6. Acceptable Use and Prohibited Conduct

You agree not to use the Services to:

  • violate any law or regulation;
  • infringe intellectual property rights, privacy rights, or publicity rights;
  • include false, misleading, or fraudulent information in generated documents;
  • attempt to gain unauthorized access to accounts, systems, or networks;
  • reverse engineer, decompile, or interfere with the Services, including rate limiting, security features, or access controls;
  • use automated tools, bots, or scripts to access the Services beyond normal intended use;
  • abuse the AI template editing feature (for example, generating content unrelated to document templates, or attempting to extract proprietary information); or
  • use the Services for any purpose other than generating and managing order-related documents.

We may suspend or terminate access when we believe there is a violation, risk, or legal requirement.

7. Billing and Subscriptions

All billing for Pick and Pack is processed through the Shopify Billing API. JavaBeanAI does not collect or store your payment information directly.

Pick and Pack offers the following subscription plans:

  • Free — $0/month (up to 50 orders per month)
  • Starter — $9.99/month (up to 500 orders per month, 14-day free trial)
  • Growth — $19.99/month (up to 5,000 orders per month, 14-day free trial)
  • Pro — $39.99/month (unlimited orders, 14-day free trial)

Paid plans include a 14-day free trial period. You will not be charged until the trial period ends.

You may upgrade or downgrade your plan at any time from within the app. Downgrades take effect at the end of your current billing cycle.

To cancel your subscription, uninstall the app from your Shopify store. Uninstalling immediately revokes the app’s access to your store. Shopify handles all refund processing in accordance with their own policies.

Pricing is subject to change. We will provide notice of any price changes before they take effect.

8. Respecting Our Rights

The Services (including software, designs, logos, and underlying technology) are owned by JavaBeanAI, LLC or our licensors and are protected by intellectual property laws, including copyrights, trademarks, and patents.

You may not copy, modify, distribute, sell, lease, or create derivative works from the Services except as permitted by these Terms or by law. This includes no scraping, automating access beyond intended use, or using our logos or trademarks without permission.

9. Respecting Others’ Rights

You may not use Pick and Pack to infringe copyrights, trademarks, or other rights, including privacy or publicity rights. You are responsible for ensuring that any content you include in your custom templates (such as logos, text, or images) does not violate the rights of any third party.

10. Your Account

Your Pick and Pack account is connected to your Shopify store through Shopify’s OAuth authentication system. You are responsible for maintaining the security of your Shopify account, which controls access to Pick and Pack.

We may disable or restrict access to the Services for security reasons or if we reasonably believe an account is connected to abuse or violations of these Terms.

11. Third-Party Services

The Services integrate with the following third-party services:

  • Shopify — Platform, authentication, order data, and billing
  • Backblaze B2 — Cloud storage for generated documents and uploaded assets
  • xAI — AI-powered template editing assistance

We are not responsible for third-party services, and their respective terms govern your use of them. Any data shared with third parties is subject to our Privacy Policy.

12. Modifying the Services and These Terms

We continuously improve the Services. We may add, change, suspend, or remove features at any time.

We may update these Terms from time to time. If changes are material, we will provide notice as required by law via email or in-app notification. By continuing to use the Services after changes take effect, you agree to the updated Terms.

Material changes include those affecting your rights, obligations, or the core functionality of the Services.

13. Termination and Suspension

You can stop using the Services at any time by uninstalling the app from your Shopify store.

We may suspend or terminate your access if you violate these Terms, create risk for others, or if we are required to do so for legal or security reasons. We will provide notice where feasible, except in urgent cases. Some sections of these Terms survive termination (including rights grants, arbitration, disclaimers, limitation of liability, indemnity, and governing law).

14. Indemnity

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless JavaBeanAI, LLC and its officers, directors, employees, and agents from claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of:

  • your use of the Services;
  • your violation of these Terms or the law;
  • documents or templates you create or distribute using the Services; or
  • your infringement of others’ rights, including intellectual property, privacy, or publicity rights.

15. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that:

  • documents will always generate or render perfectly across all printers and paper sizes;
  • the Services will be uninterrupted, timely, or error-free;
  • AI-generated template suggestions will be accurate or suitable without manual review and adjustment;
  • order data retrieved from the Shopify API will be complete or accurate (data accuracy depends on your Shopify store data); or
  • third-party integrations will function without issues.

You are responsible for reviewing all generated documents before printing or distributing them.

16. Limitation of Liability

To the maximum extent permitted by law, JavaBeanAI, LLC will not be liable for any indirect, incidental, special, consequential, punitive, or multiple damages, or lost profits, revenues, data, goodwill, or other intangible losses, arising out of or relating to:

  • your use of (or inability to use) the Services;
  • documents generated, printed, or distributed using the Services;
  • inaccuracies in order data, template rendering, or PDF generation; or
  • third-party conduct, including issues arising from Shopify API changes or outages.

To the extent we are liable, our total liability will not exceed the greater of $100 USD or the amount you paid us (if any) in the 12 months before the event giving rise to the claim, per claim or series of related claims.

17. Arbitration, Class-Action Waiver, and Jury Waiver

Please read carefully. This section affects your rights.

a. Agreement to Arbitrate

Except for small claims matters and certain IP or injunctive disputes (e.g., seeking emergency relief for IP infringement or breach of confidentiality), you and JavaBeanAI, LLC agree to resolve disputes arising out of these Terms or the Services through binding individual arbitration, not in court, and you waive any right to a jury trial.

b. Informal Resolution First

Before starting arbitration, you agree to send a written notice of the dispute to:

We will attempt to resolve the dispute informally within 60 days.

c. Arbitration Provider and Rules

Arbitration will be administered by the American Arbitration Association (AAA) under its consumer rules, unless those rules conflict with these Terms.

d. No Class Actions

Disputes must be brought individually. No class actions, class arbitrations, or representative actions.

e. Opt-Out

You may opt out of arbitration within 30 days of first accepting these Terms by sending notice to:

Include your name, store domain, and a clear statement that you are opting out.

f. Small Claims

Either party may bring an individual action in small claims court if eligible.

18. Governing Law and Venue

These Terms are governed by the laws of South Carolina, excluding conflict-of-law rules.

If a dispute is allowed in court (for example, small claims or if arbitration is unenforceable), the exclusive venue will be Richland County, South Carolina, and you consent to personal jurisdiction there and to service of process by electronic means.

19. Severability

If any provision is unenforceable, the rest remains in effect, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable, if possible.

20. Entire Agreement

These Terms (and incorporated policies, such as the Privacy Policy) are the entire agreement between you and JavaBeanAI, LLC about the Services, replacing prior agreements on the same subject. No oral or written representations outside these Terms modify this agreement.
